1. Definitions

  • "Cognitara", "we", "us", "our" refers to Cognitara, registered in Kuala Lumpur, Malaysia.
  • "Service" refers to AI consulting services including NLP, computer vision, and predictive analytics engagements.
  • "User", "you" refers to any individual or organisation accessing this website or engaging our services.
  • "Content" refers to all text, data, materials, and deliverables produced in connection with our services.
  • "Agreement" refers to these Terms together with any engagement-specific scoping document or contract.

2. Acceptance of Terms

By accessing this website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree, you should not use this website or engage our services.

You must be at least 18 years of age and have the legal capacity to enter a binding agreement in your jurisdiction. If you are engaging on behalf of an organisation, you confirm you have authority to bind that organisation.

3. Description of Services

Cognitara provides AI consulting services including natural language processing solutions, computer vision integration, and predictive analytics platforms. Each engagement is governed by a written scoping document that defines the deliverables, timeline, and cost.

Services are available to businesses operating in Malaysia and the surrounding region. Geographic restrictions may apply for certain data processing requirements.

4. Engagement Terms

Formal engagements are initiated when both parties have signed a scoping document. The scoping document defines the project scope, deliverables, timeline, payment terms, and any specific terms that override these general Terms and Conditions.

Changes to project scope after a scoping document has been signed require a written amendment agreed by both parties. Cognitara reserves the right to adjust timeline and cost estimates accordingly for scope changes.

5. User Responsibilities

You agree to:

  • Provide accurate information in enquiries and during engagements
  • Ensure you have the right to share any data or content provided to Cognitara for use in a project
  • Not use our website or services for any unlawful purpose
  • Not attempt to reverse-engineer, copy, or redistribute any proprietary tools or methodologies used by Cognitara
  • Respect the confidentiality of information shared during engagements

6. Intellectual Property

All website content, branding, and general methodology materials are the intellectual property of Cognitara and may not be reproduced without written permission.

Deliverables created specifically for a client under a paid engagement are owned by the client upon full payment, unless otherwise specified in the scoping document. This includes trained models, code, and documentation created for that engagement.

Cognitara retains the right to use general knowledge, tools, and frameworks developed during engagements in future work, provided no client-confidential data is included.

7. Payment Terms

Engagement fees are set out in the scoping document. Standard payment terms are 50% on engagement commencement and 50% on delivery, unless otherwise agreed in writing.

All prices are quoted in Malaysian Ringgit (RM) and exclude applicable taxes unless stated. Late payments may incur interest at the prevailing statutory rate.

Refunds: Fees paid for work already completed are non-refundable. If Cognitara is unable to complete an engagement due to circumstances within our control, a pro-rated refund for incomplete work will be offered.

8. Disclaimers

AI systems involve probabilistic outputs. Cognitara does not warrant that any model or system will be error-free, nor that performance metrics achieved during testing will be maintained indefinitely in production environments.

9. Limitation of Liability

To the maximum extent permitted by Malaysian law, Cognitara's total liability for any claim arising from services shall not exceed the total fees paid for the relevant engagement in the 12 months preceding the claim.

We are not liable for indirect, consequential, or incidental losses including lost profits, business interruption, or data loss, even where we have been advised of the possibility of such loss.

10. Termination

Either party may terminate an engagement with 14 days' written notice. On termination, Cognitara will invoice for work completed to date at the agreed day rate specified in the scoping document. Deliverables will be provided for completed stages.

Cognitara may terminate immediately if you breach a material term of these conditions or any engagement agreement.

11. Dispute Resolution

These Terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to attempt informal resolution in good faith before pursuing formal proceedings.

Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

12. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. Failure to enforce any term does not constitute a waiver of that term.

These Terms, together with any engagement-specific scoping document, constitute the entire agreement between the parties on the subject matter.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of this website after an update constitutes acceptance of the revised Terms. The effective date at the top of this page indicates when the most recent version came into effect.
